IMPORTANT: THESE ARE TERMS OF SERVICE PERTAINING TO STRICTLY PLUMBERS INC.’S (STRICTLY PLUMBERS OR WE”) PLUMBING SALES TRAINING/CONSULTING. THESE TERMS OF SERVICE ARE REFERRED TO IN THIS WEBSITE AS (SALES TRAINING FOR PLUMBERS TERMS OF SERVICE).

1.     Strictly Plumbers Inc.

1.1 By using this website, you agree to be bound by the Sales Training for Plumbers Terms of Service, and to use the website as per the laid down Terms of Service, Our Privacy and any additional terms and conditions that may apply to specific sections of this website or to products and services provided on this website or from Strictly Plumbers Inc.

1.2 We reserve the right to make changes to the Sales Training for Plumbers Terms of Service at any time. We shall provide notification of changes in these terms by updating the last modified date set forth above. All such changes shall be binding upon you once posted, unless such changes are material in which case such changes shall not take effect until the next time you sign an order form which includes these products.

2. Intellectual Property Rights

1.1   Our Limited License to You

This website and all the material available on the website are the property of Strictly Plumbers Inc. and/or our licensors, affiliates and are protected by Trademark, Copyright and other intellectual property laws. The website is provided for your personal noncommercial use. You are not permitted to use this website or any materials available on the website in a manner that results in an infringement of our rights or that has not been authorized by Strictly Plumbers Inc.

In addition, you are not permitted to modify, copy, reproduce, republish , post, transmit, translate, exploit, distribute, sell or create derivative works in any manner or medium (including by email or other electronic means) any materials from this website.

However, you may from time to time, download or print one copy of individual pages from this website for your personal non-commercial use, provided that you keep intact all copyright and other proprietary notices.

1.2   Your License to Us

By submitting any material  (including, but not limited to videos, photos, Facebook postings, blog entries and comments) to us through this website, internet groups, social media platforms,  or to any of our staff via text, email or otherwise, you’re representing:

1. a)      You are 13 years of age or older
2. b)      You are the owner of the material or you’re submitting the material with the express consent or permission of the owner.
3. c)       You are granting us worldwide license to copy, modify , use, sell, transmit, translate , distribute, create derivative works or publicly perform or display such material,  in whole or in part, in any manner or medium now known or hereafter developed, for any purpose. This will also include the right to exploit any Intellectual Property Rights, including Copyright, Trademark, Service Mark or patent laws under any relevant jurisdiction.
4. d)      In connection to the above, you also grant Strictly Plumbers Inc. the right to identify you as the author of any materials under your name, email address or screen name as we deem appropriate.
5. e)      You acknowledge and agree that any materials originally created by you for Strictly Plumbers Inc.  shall be considered  “work made for hire” when the work performed is within the scope of the definition of a work made for hire in Section 101 of the United States Copyright Law, as amended. As such, the copyrights in those works shall belong to Strictly Plumbers Inc. from their creation. That also means that Strictly Plumbers Inc. shall be deemed the author and exclusive owner thereof and shall have the right to exploit any or all the results and proceeds in any and all media, now known or hereafter devised, worldwide, in all languages, in perpetuity, as Strictly Plumbers Inc. determines.
6. f)       If the results and proceeds of your postings/submissions  hereunder are not deemed a “work made for hire” under section 101 of the Copyright Act, as amended, you hereby, without additional compensation, irrevocably assign, convey and transfer to Strictly Plumber Inc. all proprietary rights, including but not limited to all Copyrights and trademarks throughout the universe, in perpetuity in every medium, whether now known or hereafter devised, to such material and any all right, title and interest in and to all such proprietary rights in every medium worldwide.  Any postings that are reproductions of prior works by you shall be co-owned by Strictly Plumbers Inc.
7. g)      You agree that Strictly Plumbers Inc. has the right but not the  obligation to use and display any contributions or postings of any type and that Strictly Plumbers Inc. may choose to cease the use and display of any such materials ( or any portion thereof) at any time for any reason whatsoever.

3. Sales Training for Plumbers

3.1 The term “coaching” covers life coaching, career coaching, personal coaching and Sales Training for Plumbers. Coaching is not psychological counseling or any type of therapy, and should not be construed as such.

3.2 In return for the fees payable by the client (or by a third party on their behalf) Strictly Plumbers Inc. agrees to provide the service described below and in accordance with the Terms of Service laid out below. The client agrees to pay fees for the service in accordance with Terms of Service set out below ((in situations where a third party pays the fees, the third party counts as an agent acting on behalf of the client).

3.3 The date that the first coaching session takes place shall be deemed to be the start date for the service. Participation by any individual in the first coaching session constitutes acceptance of these Terms of Service.

3.4 Strictly Plumbers Inc. shall be responsible for assigning the most qualified executive coach (es) for the assignment either within the company or through subcontractor(s).

3.5 Strictly Plumbers Inc. shall also be responsible for the program design, program materials and logistics, unless otherwise agreed.

3.6 Strictly Plumbers Inc. will seek to enable you (the client) to improve your quality of life or level of business success and to achieve your outcome. Remarkable results can be accomplished but are never guaranteed. You (the client) have sole responsibility of taking important decisions in your life or business.

3.7 You acknowledge and agree that, in order for your staff to derive benefits from this service (Sales Training for Plumbers) such staff will be required to make such commitment as is appropriate to the Service being provided.

3.8 You (the Client) understand and acknowledge that successful completion of any qualification programs provided as part of the Service requires participants to demonstrate an understanding of underlying principles, and competence in administration and feedback of the instrument(s) concerned.

3.7 Strictly Plumbers Inc. has no liability for any loss you incur, whether financial or otherwise, following commencement of the Sales Training for Plumbers sessions, or for any perceived failures you incur, whether justified or otherwise, to achieve a material improvement in quality of life or business or to achieve your  company’s desired outcomes or goals.

4. Confidentiality

4.1 Strictly Plumbers Inc. shall at all times observe confidentiality when providing Sales Training for Plumbers services to the client.

1. a) All information and data received from you (the client) shall be treated in absolute confidence.
2. b) Information and data received under this agreement with the exception of information communicated during actual Sales Training for Plumbers conversations) shall only be disclosed to person(s) within the organization only if such person(s) (i) have a need to know to support the program and (ii) are bound in writing to protect the confidentiality of such information;
3. c) Conversations between our (Strictly Plumbers Inc.) executive coach and the participant shall be treated by us as strictly confidential at all times;
4. d) Multi-party contracting will be clearly specified and agreed upon by all involved parties before the start of the assignment. Further, the Strictly Plumbers Inc. makes sure that all employees and subcontractors involved are made subject to adequate confidentiality agreements.

5. Virtual Delivery of the Service (Sales Training for Plumbers)

Where any element of the coaching is to be done virtually, the following terms shall apply:

5.1 Only those participants registered for the virtual Service shall be permitted to attend the session(s).

5.2 The registration instructions and log-in details for the virtual Service are personal to each participant. They may not be used by anyone else nor may they be transferred or supplied to any third party or organization.

5.3 If any participant or anyone else attempts to make multiple uses of the registration and log-in details supplied by Strictly Plumbers Inc. by disclosing such details to others, the participant and its employing organization will be liable for the number of people who subsequently attended the virtual Service using the registration details.

5.4 Participants acknowledge that participation in virtual Services requires use of certain technologies. Participants will, at their own expense:

(a) Provide their own viewing venue, computer systems, internet service, and other technology, devices, and accommodations necessary to participate in the virtual session;

(b) Obtain any software necessary to participate in the virtual session, including, without limitation, their own Zoom video-conferencing capability and access (or other provider as specified by Strictly Plumbers Inc.); and

(c) Comply with all reasonable additional technology requirements prescribed by writing. Strictly Plumbers Inc. accepts no responsibility or liability for any failure in the above technology requirements.

5.5 Strictly Plumbers Inc.  shall not be liable for any interruption to service or availability of internet connection or video-conferencing facility caused by equipment or technologies supplied, used or made available by the participant nor for participant’s inability to access any virtual session or content or functionality that forms part of the Services, nor for any interruption to service or availability of internet connection or video-conferencing facility caused by factors not under the control of Strictly Plumbers Inc.

5.6 In accordance with our data protection and privacy terms, Strictly Plumbers Inc., at its discretion, may monitor the registration and access to virtual sessions, including the number of computers and their IP addresses, to ensure that the registration and/or log-in details have not been distributed; 

 

Strictly Plumbers Inc. may transfer personal data to third party video-conferencing software providers used to facilitate virtual delivery of sessions, as sub-processors for the purpose of performance of the virtual session, as set forth in our Privacy Policy. Participants should also note that such third party video-conferencing software providers may use participants’ personal data as set forth in their privacy policies; users of such third party systems should refer to those policies for additional details.

6. Feedback

If you send any suggestions, questions, comments, communications or related materials to us by any method of communication recommending or suggesting changes to this website, the service offer via this site, our content, then:

6.1 All Feedback is not, and will not be treated as, your confidential or proprietary information or property;

6.2 You agree and acknowledge that we are not obligated to use, display, reproduce, or distribute any such ideas, know-how, concepts, or techniques contained in the Feedback, and you have no right to compel us to do so.

6.3 Strictly Plumbers Inc. is free to use, without any attribution or compensation to you, any ideas, know-how, concepts, techniques, or other intellectual property and proprietary rights contained in the Feedback for any purpose whatsoever.

7. Fees, Cancellation, Rescheduling, Refunds

7.1.1 In accordance with Strictly Plumbers Inc.’s current per session fee or fee for a program of sessions, or any other such fee as shall be agreed and notified to the client. Strictly Plumbers Inc. shall confirm the fees per email. The number of sessions for which payment is required in advance will be agreed before the Sales Training for Plumbers sessions commence.

7.1.2 You agree to provide us with your name, credit card number, date of purchase, and amount of the purchase to enable us to process your return/refund request promptly. You agree to NOT file a chargeback with your credit card issuer until after you have submitted your return/refund request and have given the Company 30 days to process your return/refund request.

7.2 Fees are payable in advance of each coaching session unless otherwise agreed. Where payment has not been received in advance of a coaching session, Strictly Plumbers Inc. is not obliged to provide the session. Where payment is required on receipt of invoice rather than in advance, a charge may be levied for late payment.

7.3 If the client needs to rearrange a coaching session, they should provide at least 48 hours’ notice. Refunds on cancellations made against future sessions shall be at the discretion of Strictly Plumbers Inc.

7.4 In exceptional circumstances the coach may need to rearrange a coaching session; in these circumstances Strictly Plumbers Inc. shall use reasonable endeavors to provide a mutually satisfactory alternative appointment to the client.

7.5 Where a client pays for a session, or sessions, in advance they must have the coaching session(s) that they have paid for within 3 months of the payment, or their fee is forfeited.

7.6 The client may terminate their coaching contract at any time in writing. Any monies owed by the client at the time of cancellation will become due immediately.  Refunds on payments made against future sessions will be at the discretion of Strictly Plumbers Inc.

7.7 In exceptional circumstances, such as illness or unavailability due to bereavement or other commitments, inappropriate behavior by the client, actual or potential conflict of interest, or other reasons, Strictly Plumbers Inc. can decide to terminate the service to the client early or refuse or be unable to provide further coaching sessions to the client. Under such circumstances the client will be given reasonable notice of termination by Strictly Plumbers Inc. and will be refunded any advance payments made for coaching sessions not yet provided.

7.8 There may be occasions when the coach may recommend to the client that they seek an alternative service more suited to their current needs. In this event the coach will fully discuss the reasons for the recommendation with the client. It is the client’s sole responsibility to decide whether to follow the recommendation and Strictly Plumbers Inc. does not accept any liability for the outcome of any decisions the client chooses to make.

8. Responsible Use and Conduct

8.1 To access or use the Site, you must be 18 years or older and have the requisite power and authority to enter into these Terms and Conditions. Children under the age of 18 are prohibited from using the Site.

8.2 To access our Resources, you may be required to provide certain information about yourself (such as identification, contact details, etc.) as part of the registration process, or as part of your ability to use the Resources. You agree that any information you provide will always be accurate, correct, and up to date.

 

8.3 You agree to use our Resources only for the purposes intended as permitted by (a) the terms of this User Agreement, and (b) applicable laws, regulations and generally accepted online practices or guidelines. We do not control the messages, information or files that you or others may provide through the Site. It is a condition of your use of this website that you do not:

1. a) Inhibit or restrict others from using and enjoying this website.
2. b) Use this website to impersonate another user(s) or entities or falsely state or otherwise misrepresent your affiliation with a person or entity.
3. c) Use this website to advertise or solicit to anyone to buy or sell products or services, or to make donations of any kind, without our express written approval.
4. d) Use this to post, transmit or in any way exploit any information, software or other material for commercial purposes, or that contains advertising.
5. e) Use this website to post or transmit any information, software or other material that contains a virus or other harmful component.
6. f) Use this website to post or transmit any information, software or other material that violates or infringes upon the rights of others, including material that is an invasion of privacy or publicity rights or that is protected by copyright, trademark or other proprietary right, or derivative works with respect thereto, without first obtaining permission from the owner or rights holder.
7. e) Use this website to post or transmit any unlawful, threatening, abusive, libelous, defamatory, obscene, vulgar, pornographic, profane or indecent information of any kind, including without limitation any transmissions constituting or encouraging conduct that would constitute a criminal offense, give rise to civil liability or otherwise violate any local, state, national or international law.
8. f) Obtain or attempt to obtain any materials or information through any means not intentionally made available through this website.
9. h) Gain unauthorized access to this website, or any account, computer system, or network connected to this website, by means such as hacking, password mining or other illicit means.
10. i) Use this website to initiate or encourage others to commit illegal activities or cause injury or property damage to any person.
11. j) Interfere with or disrupt any servers or networks used to provide this website or its features, or disobey any requirements, procedures, policies or regulations of the networks we use to provide the website.

8.4 You are solely responsible for any consequences, losses, or damages that we may directly or indirectly incur or suffer due to any unauthorized activities conducted by you, as explained above, and may incur criminal or civil liability.

8.5 Strictly Plumbers Inc. may provide various open communication tools on our website, such as blog comments, blog posts, public chat, forums, message boards, newsgroups, product ratings and reviews, various social media services, etc. You understand that generally we do not pre-screen or monitor the content posted by users of these various communication tools, which means that if you choose to use these tools to submit any type of content to our website, then it is your personal responsibility to use these tools in a responsible and ethical manner. By posting information or otherwise using any open communication tools as mentioned, you agree that you will not upload, post, share, or otherwise distribute any content that:

 

8.6 Is illegal, threatening, defamatory, abusive, harassing, degrading, intimidating, fraudulent, deceptive, invasive, racist, or contains any type of suggestive, inappropriate, or explicit language.

8.7 Attempting to copy, duplicate, reproduce, sell, trade, or resell our Resources is strictly prohibited.

9. Registration

9.1 To gain access to certain features of this website, we may ask you to provide certain demographic information including your gender, year of birth, zip code and country. In addition, if you elect to sign-up for a particular feature of this website, such as chat rooms, web logs, or bulletin boards, you may also be asked to register with us on the form provided and such registration may require you to provide personally identifiable information such as your name and email address.

9.2 You agree to provide true, accurate, current and complete information about yourself as prompted by the website’s registration form.

9.3 If we have reasonable grounds to suspect that such information is untrue, inaccurate, or incomplete, we have the right to suspend or terminate your account and refuse any and all current or future use of the website (or any portion thereof). Our use of any personally identifiable information you provide to us as part of the registration process is governed by the Strictly Plumbers Inc. Privacy Policy.

10. Passwords

10.1 To access certain features of this website, you may be required to have a username and password, which you will receive through the registration process.

10.2 You are responsible for maintaining the confidentiality of the password and account, and are responsible for all activities (whether by you or by others) that occur under your password or account. You agree to notify us immediately of any unauthorized use of your password or account or any other breach of security, and to ensure that you exit from your account at the end of each session.

10.3 Strictly Plumbers Inc. cannot and will not be liable for any loss or damage arising from your failure to protect your password or account information.

11. Privacy, Security & Viruses

 

‍11.1 We respect your personal privacy. You may use the Site without providing any personal information about yourself other than any personal information that you may specifically and knowingly provide.

11.2 We will collect, use and disclose personal information as described in our privacy policy, which is available on our site You consent to the collections, uses and disclosures of your personal information for the purposes described in our privacy policy.

11.3 We may collect and maintain statistics relating to the number of visits to the Site, the types of browsers and devices used to access the Site, the Internet Protocol addresses of devices accessing the Site, and similar non-identifiable information. This information is only used for internal purposes to manage, operate, maintain and improve the Site

‍11.4 We have implemented reasonable technology and security features to safeguard your information from unauthorized access or improper use. While we make reasonable efforts to ensure that your information is secure on our system, no data transmission over the Internet can be guaranteed to be 100% secure. As a result, we cannot guarantee the security of any information you transmit to us, and you do so at your own risk and your use of our Site demonstrates your assumption of this risk.

11.5 We have taken steps to ensure that the Site is free of computer viruses and other harmful components. Nevertheless, you should install and maintain appropriate anti-virus and other protective software on the devices from which you access and use the Site.

11. 6 Without limiting any other part of these Terms, we disclaim all liability for any computer viruses or other harmful or destructive programs that you may download from or through the Site.

12. Exclusion and Limitation of Liability

12.1 Under these Terms of Service, Strictly Plumbers Inc. liability is hereby excluded and limited to the largest extent legally possible. In no event shall Strictly Plumbers Inc. be liable for any damages, by the direct, indirect, incidental, special, or consequential damages, or damages for loss of profits, revenue, data or use, incurred by you or any third party, whether in an action in contract or tort (including negligence) or otherwise, even if Strictly Plumbers has been advise of the possibility of such damages.

13. Force Majeure

Neither party to this Agreement shall be held responsible for delay or default caused by acts of God, fire, pandemic or similar, riot or public disturbance, terrorism, domestic conflict or war (declared or otherwise), where such cause was beyond, both of the parties’ reasonable control.

14. Captions and Interpretations

Paragraph titles or captions herein are inserted as a matter of convenience and for reference, and in no way define, limit, expand, extend, or describe the scope of this Agreement or any provision hereof.

15.   Voluntary Agreement

15.1 Strictly Plumbers Inc. and the client acknowledge and agree they have read this Agreement in its entirety, understand all of its terms and provisions, and sign this Agreement voluntarily of their own free will, while knowing it is a legally binding document and with the intent to be bound hereby.

15.2 Strictly Plumbers Inc. and the client acknowledge and agree that no other party, nor agent or attorney for any other party, has made any promise, representation, or warranty whatsoever, express or implied, not contained herein, to induce them to execute this Agreement, and acknowledge they have not executed this Agreement in reliance upon any such promise, representation, or warranty not contained herein.

15.3 Upon successful completion of the Sales Training for Plumbers program, and with input and permission from the client, Strictly Plumbers Inc. would like to list the client as a client and solicit testimonials to use in marketing materials. Strictly Plumbers Inc. may also disclose the client’s testimonials to current or prospective clients of Strictly Plumbers Inc. and to other third parties.
